By accessing or using Vali, you agree to these Terms and Conditions and any policies referenced here, including our Privacy Policy, Subscription Terms, and AI Usage Policy. If you do not agree, do not use Vali.
If you use Vali on behalf of another person or organization, you represent that you have authority to accept these Terms for them.
2. Service Description
Vali provides cycling training plans, ride recommendations, progress tools, and related fitness content. Vali may use information you provide, such as goals, schedule, riding history, preferred terrain, and fitness level, to personalize your plan.
Vali is not a medical service, emergency service, certified coaching service, or substitute for professional judgment.
3. Eligibility and Accounts
You must be legally able to form a binding agreement to use Vali. Vali is not intended for children under 13.
You are responsible for your account, credentials, device security, and all activity under your account. You agree to provide accurate information and keep it reasonably up to date.
4. Fitness, Cycling, and Assumption of Risk
Cycling, exercise, training, outdoor activity, and use of roads or trails involve inherent risks, including falls, collisions, overexertion, equipment failure, weather exposure, traffic hazards, injury, illness, or death.
You voluntarily assume all risks associated with using Vali, following any plan, performing any workout, riding any route, or relying on any training suggestion. You are solely responsible for deciding whether an activity is safe and appropriate for you.
You should consult a qualified medical professional before starting or changing a fitness program, especially if you have a medical condition, injury, pain, pregnancy, disability, heart condition, or any concern about exercise.
5. User Responsibility and Safety
You are responsible for riding safely, obeying traffic laws, wearing appropriate safety equipment, maintaining your bicycle, checking weather and route conditions, and stopping any activity that causes pain, dizziness, shortness of breath, unusual fatigue, or other concerning symptoms.
Vali may suggest workouts or plan adjustments, but you must use your own judgment. Do not use Vali while riding in a way that distracts you or creates danger.
6. No Medical Advice or Guaranteed Results
Vali does not provide medical advice, diagnosis, treatment, physical therapy, rehabilitation, nutrition counseling, or emergency assistance.
Vali does not guarantee any performance result, race result, fitness improvement, weight change, health outcome, injury prevention, event completion, or suitability for any specific route, rider, condition, or goal.
7. Acceptable Use
You may use Vali only for lawful, personal, non-commercial purposes unless we agree otherwise in writing.
You may not misuse Vali, attempt unauthorized access, interfere with the service, reverse engineer the app, scrape data, overload systems, upload malicious code, impersonate others, violate laws, or use Vali to harm, harass, deceive, or exploit anyone.
8. Content and Intellectual Property
Vali and its content, branding, training plans, interfaces, designs, text, graphics, software, and features are owned by Vali or its licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use Vali for your personal use. You may not copy, sell, sublicense, modify, distribute, or create derivative works from Vali without written permission.
9. User Content and Feedback
If you submit information, feedback, support messages, preferences, riding inputs, or other content to Vali, you grant us permission to use it to operate, improve, personalize, secure, and support the service.
If you send ideas or feedback, you agree that we may use them without restriction or compensation.
10. Third-Party Services and App Stores
Vali may rely on third-party services, including app stores, payment processors, analytics providers, hosting providers, and device platforms. We are not responsible for third-party services, terms, outages, policies, or decisions.
If you download or subscribe through the Apple App Store, Apple may handle billing, cancellation, refunds, and app distribution according to Apple's terms.
11. Payments
Some features may require payment or an active subscription. Paid access, renewals, cancellations, and refunds are described in our Subscription Terms and may also be governed by the app store or payment provider used for purchase.
12. Suspension and Termination
We may suspend, limit, or terminate access to Vali if we believe you violated these Terms, created risk, misused the service, infringed rights, failed to pay, or used Vali unlawfully or unsafely.
You may stop using Vali at any time. Certain terms, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnity, and dispute provisions, survive termination.
13. Disclaimers
Vali is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted operation.
We do not warrant that Vali will be error-free, secure, available at all times, compatible with every device, or suitable for every rider, training goal, route, event, health condition, or environment.
14. Limitation of Liability
To the fullest extent permitted by law, Vali and its owners, affiliates, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, personal injury, training outcomes, or damages arising from your use of or inability to use Vali.
To the fullest extent permitted by law, our total liability for any claim related to Vali will not exceed the amount you paid to Vali for the service during the three months before the event giving rise to the claim, or $100 if no amount was paid directly to Vali.
15. Indemnification
You agree to defend, indemnify, and hold harmless Vali and its owners, affiliates, employees, contractors, service providers, and licensors from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your use of Vali, your violation of these Terms, your unsafe conduct, your content, or your violation of law or third-party rights.
16. Disputes, Governing Law, and Venue
Before filing a claim, you agree to contact us and try to resolve the dispute informally. Most concerns can be resolved faster this way.
Except where prohibited by law, these Terms are governed by the laws of Wyoming, without regard to conflict-of-law rules. Except where prohibited by law or app store rules, disputes will be brought in the state or federal courts located in Wyoming.
Where permitted by law, you and Vali agree to bring claims only in an individual capacity and not as a plaintiff or class member in a class, consolidated, private attorney general, or representative action.
17. Changes to These Terms
We may revise these Terms from time to time. Continued use of Vali after updated terms become effective means you accept the revised version.
